These Terms & Conditions (“Terms”) govern your use of the software and services provided by Softland LLC (“Softland,” “we,” “us”), including TradesMgr, Origo, and Manifest (each a “Service”). By creating an account or using a Service, you agree to these Terms. If you do not agree, do not use the Services.
The Services help small businesses run their operations — for example, proposals, scheduling, and invoicing for the trades, or customs paperwork for Shopify orders. We may add, change, or remove features over time.
You must provide accurate information, keep your credentials secure, and be responsible for activity under your account. You must be authorized to bind the business you represent. You are responsible for your customers' and end-users' data that you process through the Services.
The Services integrate with third parties you authorize — including Square (Block, Inc.) and Shopify. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, fees, payment processing, or decisions. Payment processing and any associated fees are between you and the payment provider.
Do not misuse the Services: no unlawful, infringing, or fraudulent activity; no attempts to breach security or access others' data; no reselling or reverse-engineering the Services; and no use that violates a third-party platform's rules.
You retain ownership of your business data. You grant us a limited license to process it to provide the Services. Documents the Services generate (proposals, invoices, certificates, etc.) are your responsibility to review for accuracy and legal sufficiency before you rely on or send them; Softland does not provide legal, tax, or customs advice.
Where a Service is paid, fees and billing terms are presented at sign-up or in-app. Taxes are your responsibility. Unless required by law, fees are non-refundable.
The Services are provided “as is” and “as available,” without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that generated documents will meet every legal or regulatory requirement.
To the fullest extent permitted by law, Softland will not be liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Service in the 12 months before the claim.
You may stop using the Services at any time and delete your data from within the app. We may suspend or terminate access for violation of these Terms or to comply with law. On termination, the rights granted to you end; provisions that by their nature should survive (e.g., disclaimers, limitation of liability) survive.
We may update these Terms; material changes will be reflected by the “Last updated” date above. Continued use after changes means you accept them.
These Terms are governed by the laws of the United States and the State in which Softland LLC is organized, without regard to conflict-of-laws rules.
